Terms of Service
These Terms of Service ("Terms") govern your use of the PDFQBO website at pdfqbo.com and related services (collectively, the "Service") operated by PDFQBO ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.
Description of Service
PDFQBO is a web-based service that converts PDF invoices into QuickBooks-compatible file formats, specifically QBO (Web Connect / OFX) and IIF (Intuit Interchange Format). The Service includes uploading PDF invoice files, extracting invoice data through automated parsing, reviewing extracted data, and downloading generated QBO or IIF export files for import into QuickBooks. The Service also includes optional features such as vendor templates, batch processing, account mapping rules, and API access depending on your subscription plan.
Account Registration
To use the Service beyond the free preview, you must create an account by providing a valid name, email address, and password. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.
You must provide accurate and complete information when creating your account. You may not create an account on behalf of another person without their consent. You may not create multiple accounts to circumvent usage limits or abuse free trial offers. We reserve the right to suspend or terminate accounts that violate these Terms.
Subscription Plans and Billing
The Service is offered through paid subscription plans. Each plan specifies a monthly invoice processing limit and a set of available features. Subscription fees are billed in advance on a monthly or annual basis, depending on the billing period you select. Prices are quoted in United States dollars and are subject to applicable taxes.
Payment is processed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel your subscription. If your payment method fails, we will attempt to charge it again. If payment cannot be collected after multiple attempts, your subscription may be suspended until a valid payment method is provided.
You may upgrade, downgrade, or cancel your subscription at any time from your account billing settings. When upgrading, the prorated difference is charged immediately. When downgrading, the change takes effect at the start of your next billing period. When canceling, your access continues until the end of your current billing period. We do not provide refunds for partial billing periods or unused invoice processing credits.
Acceptable Use
You agree to use the Service only for its intended purpose of converting PDF invoices into QuickBooks-compatible files. You may not use the Service to:
- Upload files that are not legitimate business invoices, bills, or financial documents
- Upload files that contain malware, viruses, or other harmful code
- Attempt to gain unauthorized access to the Service, other user accounts, or our infrastructure
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the Service in a way that interferes with other users' ability to use the Service
- Resell or redistribute access to the Service without our written consent
- Use automated tools or scripts to access the Service outside of the provided API
- Violate any applicable law or regulation in connection with your use of the Service
Uploaded Content
You retain ownership of all PDF files you upload to the Service and all data contained within those files. By uploading files, you grant us a limited, non-exclusive license to process the files for the sole purpose of providing the conversion service. This license terminates when the files are deleted from our servers.
You represent and warrant that you have the right to upload the files you submit to the Service and that the files do not infringe on the intellectual property rights of any third party. You are solely responsible for the content of the files you upload.
Data Accuracy and Disclaimer
The Service uses automated parsing technology to extract data from PDF invoices. While we strive for high accuracy, we do not guarantee that every field will be extracted correctly from every invoice. The accuracy of extraction depends on the quality and format of the uploaded PDF file, the clarity of text in the document, and the complexity of the invoice layout.
You are responsible for reviewing the extracted data before importing QBO or IIF files into QuickBooks. We are not responsible for errors in your QuickBooks data that result from importing export files without first verifying the extracted data. The review step in the conversion process exists specifically for this purpose, and we recommend that you verify all amounts, dates, and vendor names before downloading and importing your export file.
Intellectual Property
The Service, including its software, design, text, graphics, and other content (excluding user-uploaded files), is owned by PDFQBO and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our written consent. The PDFQBO name and logo are trademarks of PDFQBO and may not be used without our written permission.
API Terms
If your subscription plan includes API access, the following additional terms apply. API access is provided through bearer token authentication. You are responsible for keeping your API tokens secure and not sharing them with unauthorized parties. You may revoke API tokens at any time from your account settings. API usage is subject to rate limits specified in the API documentation. We reserve the right to throttle or suspend API access if usage patterns indicate abuse or if they negatively impact the Service for other users.
Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, infrastructure updates, or circumstances beyond our control. We will make reasonable efforts to notify users of planned maintenance in advance. We are not liable for any loss or inconvenience caused by temporary unavailability of the Service.
Limitation of Liability
To the maximum extent permitted by applicable law, PDFQBO and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of the Service or inability to use the Service, any errors or inaccuracies in extracted data or generated export files, unauthorized access to or alteration of your data, or any other matter relating to the Service.
Our total aggregate liability for any claims arising out of or related to these Terms or the Service shall not exceed the amount you paid us in subscription fees during the twelve months preceding the claim.
Indemnification
You agree to indemnify and hold harmless PDFQBO and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
Termination
We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Reasons for termination include violation of these Terms, non-payment of subscription fees, abusive behavior toward our staff or other users, or use of the Service for purposes other than legitimate invoice conversion. Upon termination, your right to use the Service ceases immediately. We will delete your account data within 30 days of termination unless retention is required by law.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Service shall be resolved in the courts located in the United States.
Changes to These Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription.
